  1. TERMS OF SERVICE FOR WANDER OS USERS

1) Who we are and what these Supplemental Terms of Service for Wander OS Users cover
These Supplemental Terms of Service for Wander OS Users (“Terms”) supplement Wander’s Terms of Service, Privacy Policy, and the other documents, policies and materials incorporated therein and constitute a legal agreement between you as a User of Wander Products and Services and Wander, Inc. (“Wander,” “we,” “us,” or “our”). Among other things, these Terms govern your access to:

 (a) Wander.com and the listings visible there (“Wander Listed”);
 (b) Wander OS, the white‑label booking sites we power for independent property managers (“PMs” or “Hosts”); and
 (c) related apps, APIs, payment rails, messaging, and services (collectively, the “Services”).

These Terms apply to the Wander OS product and Services and do not apply to or govern any other Products or Services offered by Wander. You must read Wander’s Terms of Service and Privacy Policy and all related terms and policies.  Your use of the Wander OS Products and Services is conditioned upon your agreement to and acceptance of those Terms of Service. You may not use the Wander OS Products and Services unless you agree to the Wander Terms of Service. Your use of the Wander OS Product and Services or any other Wander Products and Services constitutes acceptance of these Terms and all of Wander’s Terms and Conditions. 

2) Roles and responsibilities
Wander (platform). We provide discovery, booking, and payment rails; we do not own or manage most properties. For Wander OS, the PM is the merchant of record. For Wander Listed/Wander.com, Wander is the limited payment collection agent and receives payment first, then releases according to these Terms. (See Annexes A–B.) Property Manager/Host. Owns or manages the accommodation, sets rules, is responsible for the stay, and must comply with laws, permits, taxes, insurance, and safety.
PMS providers. Third‑party Property Management Systems (e.g., Guesty, Hostaway, Streamline, Escapia, etc.) supply pricing/availability and receive bookings. Wander does not control PMS data accuracy or uptime.

3) Eligibility and account
You must be 21+ to use the Services. You agree to provide accurate information and maintain security of your account. Some features create a universal Wander account usable across Wander.com and participating Wander OS.

4) Booking workflow
When a guest requests to book, prices usually originate from the PM’s PMS via real‑time quotes; if a quote fails, the booking may be blocked or canceled and refunded. Displayed prices are estimates until confirmed at checkout. Upon confirmation, a rental contract forms between you and the PM; Wander is not a party to that rental contract.

5) Fees, taxes, and deposits (overview; details in Annexes)
Platform fee (Guest): Wander Listed (Wander.com): 13%; Wander OS: 3%.

Host/PM charges: Wander Listed: 8% host commission on bookings generated via Wander.com.
Wander OS: $0 per active listing/month + PM may pass a 3% guest platform fee through checkout per Annex B.
PM is responsible for a 2.85% credit card processing fee. 

Security deposits: Wander Listed: Wander does not hold deposits. Wander OS: the PM may hold a security deposit per PM policy.

Taxes: Wander facilitates tax collection using rates the PM provides; PM remains responsible for accuracy and remittance unless expressly stated otherwise.

Pricing/fees, PMS quotes, and limited‑agent role align with the existing guest TOS scaffold and analysis.

6) Cancellations, refunds, and modifications
Guest cancellations are governed by the PM’s stated policy in the listing. Platform fees may be non‑refundable except where required by law or if the PM cancels.

PM cancellations: You receive a full refund; Wander may assist with rebooking but is not liable for consequential costs.

Refund authority: On Wander Listed, Wander may refund up to 10% of the total trip without PM approval; above that threshold, PM approval applies (Annex A). On Wander OS, refunds follow the PM’s policy (Annex B).

Modifications require PM approval and may incur fees.

7) Property standards, safety, and insurance

PMs must ensure properties are habitable, clean, accurately described, lawfully permitted, and equipped with essential safety devices (e.g., smoke detectors). PMs must maintain general liability and property insurance and supply proof on request. You acknowledge vacation rentals carry inherent risks (e.g., pools, hot tubs, stairs, balconies, natural hazards, recreational gear) and accept responsibility to assess suitability and provide appropriate safety devices and warnings for guests at your properties.

8) Emergencies and support
The PM is responsible for on‑property issues. Wander support may assist with messaging but does not provide on‑site response or 24/7 services unless expressly stated and it is not obligated to respond or assist in any way.  The PM holds Wander harmless for any and all liability that may flow from and emergency or accident. 

9) Damage claims
PMs may submit claims within 7 days of checkout (or before the next check‑in, whichever occurs first). Guests have 5 days to respond. Wander may facilitate documentation and may, at its discretion, take limited actions related to platform access or payment holds, but Wander does not arbitrate compensation between PMs and Guests, but Wander has no obligation to do so and the PM specifically holds Wander harmless in this regard. Liability ultimately rests with the contracting parties (PM and Guest). 

10) PMS & integrations; double‑booking policy
PMS outages, desyncs, and quote failures can occur. If a double‑booking occurs due to PMS/API behavior, the first booking received will be honored; the later booking may be canceled and refunded. Wander is not liable for PMS‑caused non‑performance. 

11) Listing information; verification
PMs are solely responsible for listing accuracy. Wander may review and certify claims/photos for truthfulness (content‑level certification) but this is not a professional inspection and does not guarantee property condition or safety. Wander is not obligated to make any review of the listing and the PM is solely responsible for accuracy and holds Wander harmless in this regard.

12) Prohibited conduct
You may not engage in unlawful activities, violate occupancy rules, host unauthorized parties, sublet, circumvent fees, misuse the Services, scrape data, or harass Wander staff. Violations may lead to cancellation, without refund, recovery of damages, and account termination.

13) Communications and marketing
You consent to receive transactional emails/SMS for marketing communications and for Account and related communications regarding the Services including billing and payment. A universal Wander account may be used across the network, and—with valid consent—Wander may conduct lifecycle marketing (including inventory‑aware messaging powered by Autopilot) and may use aggregated/cross‑PM insights to improve performance. All such activity respects consent rules (CAN‑SPAM/TCPA/GDPR/CCPA).

14) Intellectual property
The Services and underlying technology are owned by Wander and its licensors. Guests/PMs receive a limited, revocable license to use as permitted. You grant Wander a perpetual, worldwide, royalty‑free license to use content you submit (e.g., reviews, photos) for the Services and marketing, subject to privacy/consent laws.

15) Data, privacy, and retention
Wander acts as controller for platform/analytics data and as processor for PM‑controlled guest data on Wander OS; PMS may be a sub‑processor. We maintain appropriate security and honor data‑subject rights. Retention: guest account and transaction data may be retained to support the universal account and lawful business purposes, subject to deletion rights and regional limits. 

16) Disclaimers (no warranties)
The Services are provided “as is” and “as available.” Wander disclaims all warranties and does not guarantee listing accuracy, property quality/safety, PMS uptime, or uninterrupted Services, except as explicitly stated in an applicable SLA.

17) Limitation of liability
To the maximum extent permitted by law, Wander’s total liability arising out of or relating to the Services is capped at the greater of $100 or fees paid to Wander by you in the 12 months before the event; no consequential, special, punitive, or indirect damages. Carve‑outs may apply for willful misconduct where required by law.

18) Dispute resolution; arbitration; class waiver
The Arbitration provision and class action waiver in the Wander Terms of Service is incorporated here and binding upon all use and Users of the Services. 

19) Termination
We may suspend or terminate access to protect Users, comply with law, or for violations of these Terms and policies. PM‑specific termination grounds are detailed in Annex C.

20) Miscellaneous
The Wander TOS provisions control choice of law, severability and all other matters not specifically addressed herein.  In the event of any conflict the Wander Terms of Service control. 

ANNEX A — PRODUCT‑SPECIFIC TERMS FOR PM LISTINGS ON WANDER.COM (WANDER LISTED)
Fees & Payments
Guest platform fee: 13% on the total paid by guests.
Wander Listing Fee: 8% on bookings generated through listings on Wander.com, deducted from booking proceeds.
Flow of funds: Payment goes to Wander first. Wander deducts applicable fees and releases PM proceeds within 24 hours after guest checkout (banking delays excluded).
Security deposits: Wander does not hold security deposits for Wander Listed.


Refunds & Cancellations
Wander may issue refunds up to 10% of the total trip without PM approval; above that requires PM approval (or as required by law).
If PM cancels a confirmed reservation, guest receives a full refund of amounts paid.

Regulatory & Display
STR licenses: Wander collects and displays applicable local STR license numbers on each listing.
Taxes: Wander facilitates tax collection based on PM‑provided rates; PM remains responsible for correctness and remittance unless the listing explicitly states Wander will remit.

Property Standards; Verification
PM must meet applicable safety/quality standards and maintain insurance (general liability + property coverage).
Verification: Wander may inspect and certify claims/photos for accuracy at a content level; not a professional property inspection.

Guest Support & Emergencies
PM provides on‑property support; Wander may route urgent communications but does not provide on‑site response.

Damage Claims
PM submits within 7 days post‑checkout (or before next check‑in); guests have 5 days to respond. Wander may hold/release funds per these Terms.


PMS/Integration
Double‑booking rule: First booking received is honored.
Uptime target: Wander aims for high availability; 99% uptime where integrations are stable; PMS downtimes are outside Wander’s control.

ANNEX B — PRODUCT‑SPECIFIC TERMS FOR WANDER OS 
Fees & Payments
Guest platform fee: 3% billed to guests at checkout (configurable to display as a separate fee). Non-refundable.
Merchant of record: PM is the merchant of record; funds settle to PM per the PM’s own processor (e.g., Stripe).
PM pricing: Wander charges PMs $0 per active listing/month known as the "Subscription Fee"; the 3% guest platform fee may be passed through to guests.
Deposits: PMs may hold security deposits per their policy.

Refunds & Cancellations
PM controls refund/cancellation policy and is responsible for issuing refunds via their processor. Wander facilitates messaging only.

Data & Ownership
Data export: PMs can export all guest data collected on their own site at any time. Wander may access all Wander OS data to improve its Products and Services and for other related business purposes. 
Brand/marketing use: PM grants Wander the right to use PM property names, images, and logos for Wander marketing and case studies, subject to reasonable brand‑use guidelines.

Property Standards; Insurance
PM must comply with local laws, keep listings accurate, maintain safety utilities/equipment, and carry adequate general liability and property insurance and have all applicable permits and licenses; provide proof upon request.

Emergency & Support
PM is the primary responder for guest/property issues; Wander does not provide on‑site support.

Damage Claims
Same standard timing: PM submits within 7 days; guest has 5 days to respond. Wander may facilitate documentation only; PM processes charges/refunds.

PMS/Integration & SLA
Double‑booking rule: First booking received is honored.
Uptime: Wander targets 99% uptime for listings if the PMS integration is stable.

Integration downtime: Failures caused by PMS are the PMS/PM’s responsibility; Wander is not liable for non‑performance due to integration issues.

Compliance & Display
Where PM configures STR licenses, Wander will display them on the listing.

Taxes
Wander facilitates tax collection using PM‑provided rates; PM is responsible for compliance/remittance unless otherwise agreed.

ADA:
Wander will display accessibility features provided by PMs within amenities.

ANNEX C — PM/Host Platform Terms (apply when a PM uses Wander OS and/or lists on Wander.com)
1) Enrollment; Accounts; Verification
 PM must provide accurate business identity, payment accounts, STR licenses, tax details, and insurance. Wander may require verification and may suspend access pending completion.

2) Fees & Charges
Wander.com (Wander Listed): Wander charges an 8% host commission on bookings generated via Wander.com; guests pay a 13% platform fee. Wander releases PM payout within 24 hours post‑checkout (bank delays excluded).
Wander OS: PM pays $0 per active listing/month Subscription Fee; guests pay a 3% platform fee (collected at checkout). PM is merchant of record and responsible for refunds and chargebacks, along with 2.85% credit card processing fee.

3) Use of Services; Brand and Experience
 PM agrees to maintain content, design, and performance standards; not to mislead consumers about Wander endorsement; and to follow “Powered by Wander” usage guidelines.

4) Marketing; Autopilot
 PM authorizes Wander to market properties across the Wander network and to operate lifecycle marketing programs (email/SMS/web push) per consent and Offer Guardrails (e.g., frequency caps, discount limits). PM may set guardrails through the dashboard.

5) Data; Ownership; Export
Controller/processor split: For Wander OS, PM is controller of guest data collected via the PM’s site; Wander is processor. For platform operations and cross‑network analytics, Wander may act as controller. PMS is a sub‑processor as applicable.
Export: PM can export all site‑collected guest data at any time.
Cross‑PM/Network use: Wander may use aggregated, de‑identified, or anonymized data across the network and may market to universal‑account users. (Subject to regional law and the Privacy Policy.)

6) Property Standards; Insurance; Compliance
 PM warrants: legal permission to rent, truthful listings, safety equipment, and adequate insurance (general liability + property damage; plus required riders). Wander may request proof; failure may result in suspension.

7) Taxes and Licenses
 PM is responsible for accurate tax configuration, collection, and remittance unless an explicit agreement says Wander will remit. PM must maintain and furnish STR license details for display where applicable.

8) PMS & Integrations
 Wander is not responsible for PMS/API outages, desyncs, or errors. If double‑booking occurs, first booking received is honored. Wander’s listing uptime target is 99% if integrations are stable; PMS‑caused downtime is outside SLA scope.

9) Refunds; Deposits; Damage
 On Wander OS, PM controls refunds and deposit handling. On Wander.com, Wander may refund up to 10% without PM approval. Damage claim timelines: submit within 7 days; guest reply 5 days.

10) Termination by Wander (illustrative, not exhaustive)
 Wander may suspend/terminate immediately for: non‑payment; repeated/material breach; misuse/fraud (fake listings; redirecting traffic to avoid fees; disabling tracking); spam or privacy law violations; unlawful content or IP infringement; security/integrity risks (data scraping; backend access); brand harm or failure to meet standards; legal orders or regulatory risk; extended inactivity (≥12 months); failure to complete verification.

11) IP; License to Materials
 PM grants Wander a license to display listing materials and marks to operate the Services and to market the PM’s participation in Wander (case studies, galleries). PM represents it owns/has rights to the content it uploads.

12) Indemnity
 PM will indemnify and defend Wander against claims arising from property conditions, listing content, guest interactions, legal non‑compliance, tax errors, and PMS/integration choices the PM controls.

13) Disputes; Arbitration
 Arbitration and class‑action waiver apply to PMs and their guests.  See the Wander TOS
